Marketing Services Agreement (MSA)

This Marketing Services Agreement outlines the general terms and working framework under which Emperor Marketing provides services. Specific scope, pricing, and deliverables are defined separately through the intake and proposal process.

Scope of Services

Emperor Marketing provides execution-focused marketing services, website development, and related support as defined per engagement.

Services are delivered strictly within the agreed scope and do not include strategic ownership, paid media management, or long-term optimization unless explicitly stated in writing.

Engagement & Intake

All engagements begin with a strategic intake process.

Submission of an intake form does not constitute a binding agreement or obligation to proceed.

Pricing & Payment

Pricing is determined based on defined scope and execution workload.

Monthly services are billed in advance.

One-time projects may require partial or full upfront payment prior to execution.

Revisions & Scope Changes

Limited revisions are included as defined per engagement.

Requests outside the agreed scope may require timeline adjustments and additional fees, confirmed in writing.

Client Responsibilities

Clients are responsible for providing timely access to materials, approvals, and accurate information.

Delays caused by missing inputs may impact delivery timelines.

Intellectual Property

Upon full payment, clients receive rights to final approved deliverables.

Emperor Marketing retains ownership of internal processes, methodologies, frameworks, and unused concepts.

Confidentiality

Both parties agree to maintain confidentiality regarding non-public business information shared during the engagement.

Performance Disclaimer

Emperor Marketing does not guarantee specific financial, engagement, or growth outcomes.

Services are provided based on professional execution and best practices.

Termination

Either party may terminate an engagement with written notice.

Work completed up to the termination date remains billable.

Governing Framework

This agreement operates alongside all published pricing logic and service policies.

In case of conflict, written project-specific agreements prevail.

Referral Credit Terms (PDF)

Referral credits are governed by a separate policy document outlining eligibility, credit structure, usage limitations, and expiration terms. Referral credits do not modify base scope, pricing structure, or strategic authority unless explicitly agreed in writing.

Referral credits are optional, non-transferable, and subject to written acceptance. Credits may not be redeemed for cash and may only be applied to future active engagements.

Acknowledgment & Acceptance

Engaging Emperor Marketing services, submitting payment, or proceeding with a project constitutes acknowledgment and acceptance of this framework.
